Sale of the 3rd telecommunication licence

2G - 3G - 4G


The Government of the Republic of Togo (the « Government»), as part of its telecommunications sector reform, has decided to issue a 3rd  telecommunications licence 2G, 3G and 4G (the « Licence ») via an international tender (the « Transaction »).

 A consortium composed of, the investment bank Linkstone Capital, the law firm Bird & Bird and the consulting firm Artelia was recruited by the Government to act as its advisor (the « Advisor »).

The Government intends to sell the Licence to a telecommunications operator, acting alone or in consortium, possessing the operational and financial capacity to respect the Licence obligations and to contribute to the development of the telecommunications sector in Togo.

Key metrics on Togo and its telecommunications sector at 31 December 2013

§  Population: 7 millions inhabitants.
§  GDP: USD 4.2 billions (USD 7.3 billions in ppp).
§  Three operators are currently active in the market : (i) Togo Telecom the incumbent  with its private subsidiary Togo Cellulaire (ii) Moov subsidiary of Etisalat, and (iii) CAFÉ informatique (internet through WLL).
§  Total number of subscribers: over 4.3 millions fixed and mobile subscribers (based on data supplied by operators and ART&P).
§  Tariff freedom.
§  National network: 1 digitized backbone.
§  International network: 1 land station WACS, 1 ground station and fiber optic links with neighboring countries.
§  The amended legal and regulatory telecommunication framework includes infrastructure sharing and access to other operators’ networks.

 Access to the Bidding Document

Interested potential investors are invited to request the Information Notice which contains (i) a synthetic presentation of the Transaction, (ii) an overview of Togo and of its telecommunications sector, (iii) a description of the integrated qualification process which will take place at the opening of the offers stage and (iv) a description of the procedure to be followed by potential investors to receive the Bidding Document.

Meetings with Candidates

Meetings with potential investors having acquired the Bidding Document (the “Candidates”) will take place end of July 2014. Candidates will be informed later regarding the organizational aspects of these meetings.

Proposed timetable

The indicative timetable is as follows:

·          Publication of the official press announcements and availability of the Information Notice – as of 30 June 2014
·          Payment of the Administrative Fees  and sending of the initial version of the Bidding Document – week starting 8 July 2014
·          Meetings with Candidates – end of July 2014
·          Sending of the final version of the Bidding Document – 29 August 2014
·          Submission of Offers – 1 October 2014.

The closing of the Transaction is expected to take place in October 2014.
